These Terms of Use govern access to and use of the MineROQ platform operated by
Ecom Systems GmbH. By accessing or using the platform, users confirm that they
have read, understood and agreed to these terms.
MineROQ provides a digital marketplace infrastructure for request-for-quotation
and bidding processes between independent business users. MineROQ acts solely as
a neutral technical service provider and does not participate in transactions,
negotiations, payments, logistics or contractual relationships between users.
Scope of Services
MineROQ enables users to publish requests, submit offers and exchange information
related to industrial goods and services. The platform does not verify the
accuracy, completeness or legal compliance of user-provided content prior to
publication.
MineROQ does not guarantee the availability, success or outcome of any request,
offer or business relationship initiated via the platform.
User Status and Responsibilities
Use of the platform is intended for business users acting in a commercial or
professional capacity. Users are solely responsible for ensuring that their use
of the platform complies with applicable laws, regulations and contractual
obligations.
Users are responsible for the content they publish, including technical data,
images, catalog materials, offers and references to manufacturers or trademarks.
No Contractual Relationship with MineROQ
Contracts, negotiations and commercial relationships are concluded exclusively
between users. MineROQ does not become a contractual party, agent, broker or
representative of any user, unless explicitly stated otherwise.
MineROQ does not assume responsibility for the performance, delivery, quality,
pricing or legality of goods or services offered by users.
Availability and Technical Operation
MineROQ strives to ensure reliable operation of the platform but does not warrant
uninterrupted availability. Temporary restrictions due to maintenance, technical
issues or external factors may occur.
MineROQ reserves the right to modify, restrict or discontinue platform features
where required for technical, legal or security reasons.
Amendments to the Terms
MineROQ reserves the right to amend these Terms of Use where required due to legal,
regulatory or operational changes. Updated terms will be published on the
platform and become effective upon publication.
User Agreement

This User Agreement governs the contractual relationship between users and the
operator of the MineROQ platform, Ecom Systems GmbH, with respect to account
registration and use of platform functionalities.
Eligibility and Account Registration
The MineROQ platform is intended exclusively for business users acting in a
commercial or professional capacity. By registering an account, users confirm
that they are not acting as consumers within the meaning of applicable consumer
protection laws.
Users must provide accurate, complete and up-to-date information during
registration and are responsible for maintaining the correctness of their
account data.
Each user may register only one account unless explicitly permitted otherwise by
MineROQ. Account credentials must be kept confidential and may not be shared with
third parties.
User Obligations
Users agree to use the platform solely in compliance with applicable laws,
regulations and these terms. Users shall not misuse the platform for unlawful,
misleading or fraudulent purposes.
Users are solely responsible for all activities carried out through their
account, including content published, offers submitted and communications with
other users.
Accuracy of Information
Users are responsible for ensuring that all information provided on the platform,
including technical specifications, pricing, availability and references to
manufacturers or trademarks, is accurate and not misleading.
MineROQ does not verify user information prior to publication and assumes no
responsibility for inaccuracies or omissions.
Account Security
Users must take appropriate measures to protect their account credentials against
unauthorized access. Any suspected misuse or security breach must be reported to
MineROQ without undue delay.
Termination by the User
Users may terminate their account at any time in accordance with the procedures
provided on the platform. Termination does not affect obligations arising prior
to the termination date.
Tender Participation Rules

These Tender Participation Rules govern the creation of requests, submission of
offers and interaction between users within tender, request-for-quotation and
bidding processes on the MineROQ platform.
Creation of Requests
Buyers may create requests describing their sourcing needs, including technical
specifications, quantities, reference manufacturers and requested delivery
conditions. All information provided must be accurate and sufficiently detailed
to enable meaningful offers.
Requests are published for informational and competitive bidding purposes only.
Publication of a request does not constitute a binding offer or obligation to
conclude a contract.
Manufacturer References
Manufacturer names and trademarks may be referenced within requests solely for
identification and classification purposes. Such references do not restrict the
submission of compatible, alternative or equivalent offers unless explicitly
stated by the buyer.
Submission of Offers
Suppliers may submit offers in response to published requests in accordance with
the parameters defined by the buyer. Offers may relate to all or only selected
positions within a request, unless otherwise restricted.
Each offer is submitted under the sole responsibility of the supplier and must
accurately reflect pricing, availability, delivery terms and any applicable
conditions.
Deadlines and Validity
Requests may specify deadlines for offer submission. Suppliers are responsible
for ensuring timely submission of their offers. Late submissions may not be
considered.
Unless otherwise stated, offers are considered non-binding and subject to further
negotiation between users.
No Obligation to Award
Buyers are under no obligation to accept any offer submitted via the platform.
The selection, rejection or negotiation of offers is at the sole discretion of
the buyer.
MineROQ does not influence award decisions and does not guarantee that a request
will result in a transaction.
Communication Between Users
All communications related to a request or offer are conducted directly between
users via the platform or external channels agreed upon by the parties. Users are
responsible for the content and legality of their communications.
Role of MineROQ
MineROQ provides the technical framework for tender participation but does not
verify offers, evaluate bids, rank suppliers or participate in negotiations.
MineROQ is not a party to any contract concluded between users and assumes no
responsibility for the performance, fulfillment or outcome of any transaction.
Fees & Payment Terms

This section governs fees, charges and payment-related terms applicable to the
use of the MineROQ platform operated by Ecom Systems GmbH.
Platform Access and Fees
Access to the MineROQ platform may be provided free of charge or subject to fees,
depending on the selected service level, subscription plan or specific platform
features.
Applicable fees, pricing models and included services are displayed on the
platform or communicated to users prior to activation. MineROQ reserves the
right to modify pricing structures in accordance with applicable law.
No Involvement in User Payments
MineROQ does not process, handle or intermediate payments between users.
Payments for goods or services offered via the platform are agreed and settled
directly between users outside the platform, unless explicitly stated otherwise.
MineROQ does not act as a payment service provider, escrow agent or financial
intermediary within the meaning of applicable payment services regulations.
Invoicing and Taxes
Users are solely responsible for issuing invoices, accounting for taxes and
complying with applicable tax, customs and accounting regulations arising from
transactions concluded between users.
Any platform fees charged by MineROQ are invoiced separately by Ecom Systems GmbH
in accordance with applicable tax laws.
Third-Party Services
The platform may reference or integrate third-party services related to payments,
logistics or other commercial functions. Use of such services is subject to the
respective third-party terms and conditions.
MineROQ assumes no responsibility or liability for services provided by third
parties.
Refunds and Adjustments
Fees paid to MineROQ for platform services are non-refundable unless explicitly
stated otherwise or required by mandatory law.
Adjustments or credits may be granted at the sole discretion of MineROQ in
exceptional cases.
Sanctions & Export Compliance Policy

This Sanctions & Export Compliance Policy governs the use of the MineROQ platform
in relation to applicable export control laws, trade restrictions and economic
sanctions.
Applicable Regulations
Users of the MineROQ platform are required to comply with all applicable export
control, customs and sanctions laws and regulations, including but not limited
to regulations of the European Union, the Federal Republic of Germany, the
United Nations and, where applicable, the United States.
This includes, without limitation, regulations relating to restricted goods,
dual-use items, embargoed destinations, sanctioned persons, entities and
organizations.
User Responsibility
Users are solely responsible for ensuring that their activities on the platform,
including the publication of requests, submission of offers, exchange of
information and execution of transactions, comply with all applicable sanctions
and export control laws.
Users represent and warrant that they are not subject to any sanctions or
restrictive measures and are not acting on behalf of, or for the benefit of,
any sanctioned individual or entity.
No Legal or Trade Compliance Advisory
MineROQ does not provide legal, regulatory or trade compliance advice and does
not assess or verify whether specific goods, services, transactions or users
are subject to export restrictions or sanctions.
Any compliance checks performed by MineBid are conducted solely for platform
protection purposes and do not constitute a comprehensive or legally binding
assessment.
Monitoring and Enforcement
MineROQ reserves the right, at its sole discretion, to restrict, suspend or
terminate user accounts, remove content or block access to the platform where
there are reasonable indications of violations of sanctions, export control or
trade compliance regulations.
Such measures may be taken with immediate effect and without prior notice where
required by law, regulatory obligations or risk considerations.
Buyers and Suppliers
Sanctions and export compliance requirements apply equally to all users of the
platform, including buyers and suppliers. MineBid does not differentiate between
user roles when enforcing compliance-related measures.
Cooperation with Authorities
MineROQ may cooperate with competent authorities and provide information where
required by applicable law or regulatory obligations.
Consequences of Non-Compliance
Violations of sanctions or export control regulations may result in immediate
account suspension or termination, removal of content and exclusion from future
use of the platform.
Users acknowledge that violations of such regulations may also expose them to
severe civil and criminal penalties under applicable law.
Privacy Policy & GDPR Compliance

This section describes how personal data is processed in connection with the use
of the MineROQ platform operated by Ecom Systems GmbH and outlines compliance
with applicable data protection laws, in particular the General Data Protection
Regulation (GDPR).
Role of the Platform Operator
Ecom Systems GmbH acts as the data controller within the meaning of Article 4(7)
GDPR with respect to personal data processed in connection with the operation of
the MineROQ platform.
In certain cases, users may act as independent data controllers with respect to
personal data they publish or exchange directly with other users via the
platform.
Categories of Personal Data
Depending on platform usage, the following categories of personal data may be
processed:
- Account and registration data (e.g. name, company, contact details)
- Authentication and access data
- Communication data exchanged between users
- Technical and usage data (e.g. log files, IP addresses)
Purpose and Legal Basis of Processing
Personal data is processed solely for legitimate purposes, including platform
operation, user account management, communication facilitation, security,
compliance with legal obligations and improvement of platform services.
Processing is based on applicable legal grounds under Article 6 GDPR, in
particular contract performance, legal obligations and legitimate interests.
User-Generated Content and Responsibility
Users are responsible for ensuring that personal data included in content they
publish or share via the platform complies with applicable data protection laws.
MineBid does not proactively review user-generated content for data protection
compliance.
Data Sharing and Transfers
Personal data is not shared with third parties except where required for platform
operation, legal compliance or where users explicitly initiate communication
with other users.
Where third-party service providers are engaged, appropriate data processing
agreements are concluded in accordance with Article 28 GDPR.
Data Retention
Personal data is retained only for as long as necessary to fulfill the purposes
for which it was collected or as required by applicable legal retention
obligations.
Data Subject Rights
Data subjects have the right to access, rectify, erase or restrict processing of
their personal data, as well as the right to data portability and to object to
processing, in accordance with Articles 15–21 GDPR.

OEM & Trademark Notice

This section governs intellectual property rights related to the use of the
MineROQ platform operated by Ecom Systems GmbH.
User-Generated Content
All content submitted, uploaded or otherwise made available on the platform,
including images, catalog sheets, technical documentation, product descriptions,
offers and communications, is user-generated content.
Users retain all rights to their user-generated content. By submitting content
to the platform, users grant MineROQ a non-exclusive, worldwide, royalty-free
license to host, display, process and transmit such content solely for the
purpose of operating and providing the platform services.
Users represent and warrant that they hold all necessary rights, licenses and
permissions required to submit and use their content on the platform and that
such content does not infringe third-party intellectual property rights.
Trademarks and Manufacturer References
Trademarks, trade names, logos, manufacturer names and part numbers referenced on the platform are used solely for identification, compatibility and reference purposes. References to OEM names and part numbers do not indicate that products offered through the platform originate from or are approved by the respective original equipment manufacturers unless explicitly stated by the seller.
Such references may appear in user-generated content or within structured
platform features (e.g. manufacturer selection lists) solely to facilitate
classification and search. Their presence does not imply any affiliation,
endorsement or commercial relationship between MineROQ and the respective
trademark holders.
MineROQ does not independently verify trademark ownership, licensing rights or authorization claims prior to publication. Users are solely responsible for ensuring that their content does
not infringe third-party intellectual property rights.
Platform Intellectual Property
The MineROQ name, platform design, interface elements, logos, trademarks and
technical infrastructure are protected intellectual property of Ecom Systems
GmbH or its licensors.
Any use of platform-related intellectual property beyond normal use of the
platform requires prior written consent from Ecom Systems GmbH.
Infringement and Removal
MineROQ reserves the right to remove content or restrict access to the platform
where there are reasonable indications of intellectual property infringement.

Code of Conduct

This Code of Conduct defines the standards of behavior expected from all users
of the MineROQ platform operated by Ecom Systems GmbH.
Professional and Lawful Use
Users shall use the platform exclusively for lawful, professional and
business-related purposes. Any misuse of the platform for unlawful, misleading,
fraudulent or abusive activities is prohibited.
Users must comply with all applicable laws, regulations and contractual
obligations when using the platform.
Accuracy and Integrity
Users shall provide accurate, truthful and non-misleading information when
publishing requests, submitting offers or communicating with other users.
Deliberate misrepresentation of technical specifications, pricing, availability,
origin or legal status of goods or services is prohibited.
Respectful Communication
Users are expected to communicate in a professional and respectful manner.
Harassment, discrimination, threats, hate speech or abusive behavior toward
other users or platform representatives is not permitted.
Intellectual Property and Confidentiality
Users shall respect the intellectual property rights and confidential
information of others. Content that infringes third-party rights or unlawfully
discloses confidential information must not be published.
Platform Integrity
Users shall not attempt to interfere with the technical operation of the
platform, including attempts to gain unauthorized access, circumvent security
measures or manipulate platform features.
Consequences of Violations
Violations of this Code of Conduct may result in measures including content
removal, restriction of platform functionality, suspension or termination of
user accounts, in accordance with applicable law and platform policies.
MineROQ reserves the right to take appropriate action where there are reasonable
indications of violations of this Code of Conduct.
Account Suspension & Termination

This section governs the suspension, restriction and termination of user
accounts on the MineROQ platform operated by Ecom Systems GmbH.
Grounds for Suspension or Termination
MineROQ reserves the right to suspend, restrict or terminate user accounts,
including those of buyers and suppliers, where there are reasonable indications
of violations of these Terms, platform policies or applicable laws.
Grounds for such measures may include, but are not limited to:
- Violations of the Terms of Use or User Agreement
- Breaches of the Code of Conduct
- Violations of sanctions, export control or trade compliance regulations
- Infringement of intellectual property rights
- Submission of false, misleading or fraudulent information
- Security risks, abuse of platform features or attempts to circumvent controls
Measures and Enforcement
Depending on the severity and nature of the violation, MineROQ may take measures
including content removal, temporary suspension of platform access, restriction
of specific functionalities or permanent termination of the user account.
Measures may be applied with immediate effect and without prior notice where
required by law, regulatory obligations, security considerations or risk
management.
Effect of Termination
Upon termination of an account, access to platform services will be disabled.
User-generated content may be removed or retained where required for legal,
compliance or dispute resolution purposes.
Termination does not affect rights or obligations arising prior to termination,
including outstanding claims or compliance obligations.
User-Initiated Termination
Users may request termination of their account at any time in accordance with
the procedures provided on the platform. MineROQ may retain certain data where
required by law or for legitimate business purposes.
No Liability for Enforcement Measures
MineROQ shall not be liable for losses or damages arising from account suspension
or termination carried out in accordance with these Terms and applicable law.
Governing Law & Jurisdiction

This section governs the applicable law and jurisdiction in relation to the use
of the MineROQ platform operated by Ecom Systems GmbH.
Applicable Law
These Terms and any disputes arising out of or in connection with the use of the
platform shall be governed by and construed in accordance with the laws of the
Federal Republic of Germany, excluding its conflict-of-law provisions and the
United Nations Convention on Contracts for the International Sale of Goods
(CISG).
Jurisdiction
Exclusive place of jurisdiction for all disputes arising out of or in connection
with these Terms shall be the registered office of Ecom Systems GmbH, provided
that the user is a merchant, a legal entity under public law or a special fund
under public law.
Mandatory statutory provisions regarding jurisdiction shall remain unaffected.
Language
These Terms are provided in the English language for international accessibility.
A German-language version may be provided for informational or legal purposes.
In the event of discrepancies, the German-language version shall prevail where
required by applicable law.
